INTRODUCTION

Welcome to SkaiScraper! This Client User Agreement ("Agreement") is a binding legal contract between you ("Client", "User", "you", "your") and ClearSkai Technologies, LLC, doing business as SkaiScraper ("Company", "we", "us", "our").

By creating an account, accessing, or using the SkaiScraper platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement, our Terms of Service, Privacy Policy, and all applicable laws and regulations.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM.

SECTION 1: PLATFORM OVERVIEW

1.1 What is SkaiScraper?

SkaiScraper is a cloud-based software platform that connects property owners with verified trades professionals for property damage assessment, repair coordination, and insurance claim support.

1.2 Services We Provide to Clients

As a Client, you have access to:

Client Portal: A secure dashboard to manage your property projects and claims
Find-a-Pro Directory: Browse and connect with verified contractors
Project Management: Track project status, communications, and documents
Community Network: Connect with other homeowners, share experiences, and read reviews
AI-Powered Insights: Damage assessments, photo analysis, and documentation assistance
Secure Messaging: Communicate directly with contractors and project teams
Document Storage: Securely store photos, estimates, and project documentation

1.3 What We Do NOT Provide

SkaiScraper is a technology platform. We are NOT:

A construction company or contractor
An insurance company or adjuster
A legal, engineering, or architectural firm
A party to contracts between you and contractors
Responsible for contractor work quality, pricing, or performance

SECTION 2: ACCOUNT REGISTRATION & ELIGIBILITY

2.1 Eligibility

To use SkaiScraper, you must:

Be at least 18 years of age
Have legal capacity to enter into binding agreements
Provide accurate, complete, and current registration information
Maintain the security of your account credentials

2.2 Account Accuracy

You represent and warrant that:

All information you provide is truthful and accurate
You will update your information if it changes
You will not impersonate another person or entity
You will not create multiple accounts without authorization

2.3 Account Security

You are solely responsible for:

Maintaining the confidentiality of your password
All activities that occur under your account
Immediately notifying us of any unauthorized access
Any harm resulting from your failure to protect your account

SECTION 3: CONTRACTOR RELATIONSHIPS

3.1 Independent Contractors

All contractors ("Trades Professionals" or "Pros") on our platform are independent businesses. They are NOT employees, agents, or representatives of ClearSkai Technologies, LLC.

3.2 Direct Contracts

When you engage a contractor through SkaiScraper:

You enter into a direct agreement with that contractor
SkaiScraper is not a party to that agreement
Pricing, scope, and terms are between you and the contractor
Payment for services goes directly to the contractor (unless otherwise specified)

3.3 No Guarantees

WE DO NOT GUARANTEE:

The quality, timeliness, or completion of contractor work
The accuracy of contractor estimates or bids
The licensing status of contractors in all jurisdictions
The insurance coverage of contractors
The outcome of any project or claim

3.4 Your Responsibility

You are responsible for:

Verifying contractor credentials, licenses, and insurance
Reviewing and understanding all contracts before signing
Inspecting completed work before final payment
Resolving disputes directly with contractors
Obtaining necessary permits and inspections

SECTION 4: AI-POWERED FEATURES

4.1 AI Capabilities

SkaiScraper uses artificial intelligence to provide:

Property damage detection and analysis
Photo categorization and organization
Report generation and summaries
Estimate formatting suggestions
Documentation assistance

4.2 AI Limitations & Disclaimers

YOU ACKNOWLEDGE AND AGREE THAT:

AI outputs are FOR INFORMATIONAL PURPOSES ONLY
AI may produce inaccurate, incomplete, or misleading results
AI does NOT replace professional inspection, engineering, or adjusting
AI outputs should NEVER be relied upon as the sole basis for decisions
AI image analysis may misidentify objects, damage, or conditions
AI-generated text may contain errors or omit critical information

4.3 Your Responsibility for AI Outputs

YOU, NOT SKAISCRAPER, ARE FULLY RESPONSIBLE FOR:

Verifying the accuracy of all AI-generated content
Having qualified professionals review AI outputs
Ensuring AI outputs are not used to mislead anyone
All decisions made based on AI-generated information

4.4 AI Misuse Prohibited

You may NOT:

Submit AI outputs as certified professional assessments
Use AI to mislead insurers, contractors, or other parties
Represent AI outputs as legally binding or official documents
Use AI to falsify or exaggerate damage claims

4.5 Property Intelligence (SkAI Memory)

You acknowledge that documents and reports connected to your property or projects — including measurement reports, inspection reports, and photos — may be automatically scanned by AI to extract property information (such as roof dimensions, materials, and condition), and that this extracted data may be saved to the property's SkAI Memory history so contractors you work with can prepare accurate estimates and reports. This data stays within the organization handling your project and is handled per our Privacy Policy.

SECTION 5: COMMUNITY & NETWORK CONDUCT

5.1 Community Guidelines

When using the SkaiScraper community features (including but not limited to the Network, reviews, comments, groups, and messaging), you agree to conduct yourself in a professional and respectful manner at all times.

5.2 Acceptable Conduct

You agree to:

Be respectful and professional in all interactions
Post only truthful and accurate reviews and content
Use appropriate language suitable for a professional platform
Respect the privacy and personal information of others
Report violations of these guidelines to our moderation team
Accept constructive feedback gracefully

5.3 Prohibited Conduct

You may NOT post, share, or transmit any content that:

Hate Speech & Discrimination

Promotes hatred, violence, or discrimination based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, age, or any other protected characteristic
Contains slurs, epithets, or derogatory language targeting any group
Advocates for the exclusion or harm of individuals based on their identity

Harassment & Threats

Harasses, bullies, intimidates, or threatens any person
Contains personal attacks, insults, or name-calling
Stalks, doxxes, or shares personal information without consent
Incites others to harass or target individuals

Obscene & Inappropriate Content

Contains profanity, vulgarity, or obscene language
Includes sexually explicit material or suggestive content
Contains graphic violence or gore
Is otherwise inappropriate for a professional business platform

Misinformation & Fraud

Spreads false, misleading, or deceptive information
Impersonates another person, company, or entity
Constitutes fraud, phishing, or scams
Promotes illegal activities or services

Spam & Commercial Abuse

Contains spam, repetitive content, or chain letters
Includes unauthorized advertisements or solicitations
Manipulates ratings, reviews, or engagement metrics
Promotes competitors or unrelated services

5.4 Reviews & Ratings

When leaving reviews for Trades Professionals:

Share only your genuine, personal experience with verified services
Be truthful and accurate about the work performed
Provide constructive feedback that helps others make informed decisions
Do not accept payment, discounts, or incentives in exchange for reviews
Do not leave reviews for services you did not receive
Understand that contractors may respond publicly to your review
Do not use reviews to extort, threaten, or coerce contractors

5.5 Automated Content Moderation

You acknowledge and agree that:

We utilize automated content moderation systems to detect and filter prohibited content
Your posts, reviews, and messages may be automatically scanned before publication
Content that triggers our moderation filters may be blocked, flagged, or removed
Repeated violations may result in account restrictions or termination
Our moderation systems are tools to assist human review and may not catch all violations
You remain solely responsible for the content you post

5.6 Human Moderation & Appeals

Our team reviews flagged content and reports from users
We reserve the right to remove any content at our sole discretion
Account holders may appeal moderation decisions via support@clearskaitechnologies.com
Appeals will be reviewed within 7 business days
Our decision on appeals is final

5.7 Consequences of Violations

Violations of these community guidelines may result in:

Warning: First-time or minor violations may receive a warning
Content Removal: Prohibited content will be removed without notice
Temporary Suspension: Repeated violations may result in temporary account suspension (7-30 days)
Permanent Ban: Severe or repeated violations may result in permanent account termination
Legal Action: We may report illegal activity to law enforcement

5.8 Content Ownership & License

You retain ownership of original content you create and post
By posting content, you grant ClearSkai Technologies, LLC a worldwide, non-exclusive, royalty-free license to use, display, reproduce, modify, and distribute your content on the platform
You represent and warrant that you have all necessary rights to content you post
We may remove content that violates these terms without prior notice
Removed content may not be recoverable

5.9 Reporting Violations

If you encounter content that violates these guidelines:

Use the "Report" feature available on posts, reviews, and profiles
Contact our moderation team at support@clearskaitechnologies.com
Provide specific details about the violation
Do not engage with or escalate the situation
Allow our team time to investigate and respond

5.10 Safe Community Commitment

ClearSkai Technologies, LLC is committed to maintaining a safe, professional, and inclusive community for all users. We continuously improve our moderation systems and policies to protect our community members.

SECTION 6: PRIVACY & DATA

6.1 Information We Collect

We collect information including:

Account information (name, email, phone, address)
Property information and photos
Communication and messaging data
Usage data and analytics
Payment information (processed by Stripe)

6.2 How We Use Your Data

We use your data to:

Operate and improve the platform
Connect you with contractors
Process AI-powered features
Communicate important updates
Comply with legal requirements

6.3 Personalization & Interest-Based Content

By accepting this Agreement, you consent to interest-based personalization inside SkaiScraper:

We use signals from your community activity (project categories you post, pros you view or save, topics you engage with, your city/state) to rank your feed, Trending page, and recommendations
Interest profiles are used inside SkaiScraper only — never sold, rented, or shared with advertisers or data brokers
Personalization never reads your claims, job documents, project files, private photos, or private messages
You may opt out anytime in Settings → Privacy; deleting your account deletes your interest profile

6.4 The Privacy Guardrail: Work Data vs. Community Sharing

We enforce a hard separation:

Always private between you and your pro — never public, no exceptions:

Claim details, claim numbers, and claim status
Job/project details, estimates, budgets, and pricing
Documents, signatures, and files
Photos inside your project or claim workspaces
Private messages

Shared only when you explicitly choose (Settings → Privacy or a share action):

Your public profile (name, photo, bio, city/state)
Property photos you opt into showing (before & after shots)
Project stories (titles only)
Community posts about your claims experience (your words — never the claim data itself)
Reviews you leave for pros and their companies

6.5 Reviews After Completed Work

When a job is completed you may be prompted to review your pro. Reviews are public, appear on the pro's trades page and their company page, and are governed by Section 5.4. Company review scores may aggregate reviews of the company's individual employees, with filters to view either.

6.6 Data Security

We implement industry-standard security measures. However, no system is 100% secure. You use the platform at your own risk.

6.7 Third-Party Sharing

We may share data with:

Contractors you choose to connect with
Service providers (hosting, analytics, payment processing)
Law enforcement when legally required
Business transferees in case of acquisition

SECTION 7: INTELLECTUAL PROPERTY

7.1 Our Property

SkaiScraper, its software, designs, logos, and content are owned by ClearSkai Technologies, LLC and protected by intellectual property laws.

7.2 Your License

We grant you a limited, non-exclusive, non-transferable license to use the platform for its intended purpose. You may NOT:

Copy, modify, or distribute our software
Reverse engineer or decompile our systems
Use our trademarks without permission
Scrape or harvest data from our platform

SECTION 8: LIMITATION OF LIABILITY

8.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Our total liability shall not exceed $100 or the fees you paid in the past 12 months, whichever is greater
We are NOT liable for indirect, incidental, special, consequential, or punitive damages
We are NOT liable for loss of profits, data, or business opportunities
We are NOT liable for contractor actions, work quality, or disputes

8.3 Specific Disclaimers

WE ARE NOT LIABLE FOR:

Actions or omissions of contractors
Accuracy of AI-generated content
Insurance claim outcomes
Property damage assessments
Financial decisions based on platform information
Data loss or security breaches beyond our reasonable control

SECTION 9: INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ClearSkai Technologies, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the platform
Your violation of this Agreement
Your interaction with contractors
Content you post or share
Your violation of any law or third-party rights

SECTION 10: DISPUTE RESOLUTION

10.1 Governing Law

This Agreement is governed by the laws of the State of Arizona without regard to conflict of law principles.

10.2 Arbitration Agreement

PLEASE READ CAREFULLY:

You agree that any dispute arising from this Agreement or your use of the platform shall be resolved through binding arbitration rather than in court, except for small claims court disputes.

10.3 Class Action Waiver

YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS.

All disputes must be brought in your individual capacity.

10.4 Venue

Any legal action shall be brought in Yavapai County, Arizona or federal court in the District of Arizona.

SECTION 11: TERMINATION

11.1 Your Right to Terminate

You may close your account at any time through your account settings or by contacting support.

11.2 Our Right to Terminate

We may suspend or terminate your account at any time for:

Violation of this Agreement
Fraudulent or illegal activity
Abusive behavior toward users or staff
Extended inactivity
Any reason with notice

11.3 Effect of Termination

Upon termination:

Your access to the platform will cease
Your data may be retained as required by law
Provisions that should survive will remain in effect

SECTION 12: GENERAL PROVISIONS

12.1 Entire Agreement

This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and ClearSkai Technologies, LLC.

12.2 Severability

If any provision is found unenforceable, the remaining provisions shall continue in effect.

12.3 Waiver

Our failure to enforce any right does not waive our right to enforce it later.

12.4 Assignment

You may not assign this Agreement. We may assign it to any successor entity.

12.5 Modifications

We may update this Agreement at any time. Continued use after changes constitutes acceptance. Material changes will be notified via email or platform notification.

You agree to be bound by all terms and conditions
