INTRODUCTION

Welcome to SkaiScraper! This Trades Professional User Agreement ("Agreement") is a binding legal contract between you and your company ("Contractor", "Pro", "Trades Professional", "you", "your") and ClearSkai Technologies, LLC, doing business as SkaiScraper ("Company", "we", "us", "our").

By creating an account, accessing, or using the SkaiScraper platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement, our Terms of Service, Privacy Policy, and all applicable laws and regulations.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM.

SECTION 1: PLATFORM OVERVIEW

1.1 What is SkaiScraper?

SkaiScraper is a cloud-based software platform designed to help trades professionals manage their business operations, connect with property owners, and streamline insurance restoration work.

1.2 Services We Provide to Trades Professionals

As a Trades Professional, you have access to:

Pro Dashboard: Manage your company profile, employees, and operations
Job Board: View and bid on available projects in your area
Claims Workspace: AI-powered tools for damage documentation and estimates
Trades Network: Connect with other professionals and grow your network
Client Management: Track leads, projects, and customer communications
AI-Powered Tools: Damage detection, report generation, and documentation
Portfolio Showcase: Display your work, certifications, and reviews
Messaging System: Communicate with clients and other professionals

1.3 What We Do NOT Provide

SkaiScraper is a technology platform. We are NOT:

A general contractor or construction company
An insurance company, adjuster, or public adjuster
An engineering, architectural, or legal firm
An employer—you are an independent business
Guarantors of work, payment, or client relationships
A party to contracts between you and clients

SECTION 2: ACCOUNT REGISTRATION & ELIGIBILITY

2.1 Eligibility

To use SkaiScraper as a Trades Professional, you must:

Be at least 18 years of age
Have legal authority to bind your company
Provide accurate business and licensing information
Maintain valid business licenses as required by law
Maintain appropriate insurance coverage
Comply with all applicable laws and regulations

2.2 Business Representation

You represent and warrant that:

You are authorized to conduct business in your jurisdiction
All licensing and insurance information is accurate and current
You will maintain required licenses and insurance during use
You will notify us promptly of any changes to your business status
You have authority to enter into agreements on behalf of your company

2.3 Account Accuracy & Security

You are solely responsible for:

Providing accurate and complete business information
Updating information when it changes
Maintaining the security of your account credentials
All activities conducted under your account
Actions of employees or subcontractors using your account

SECTION 3: INDEPENDENT CONTRACTOR STATUS

3.1 No Employment Relationship

YOU ARE AN INDEPENDENT CONTRACTOR, NOT AN EMPLOYEE OF SKAISCRAPER.

Nothing in this Agreement creates:

An employment relationship
A partnership or joint venture
An agency relationship
Any fiduciary duty

3.2 Your Business Responsibilities

As an independent contractor, you are solely responsible for:

Operating your business lawfully and professionally
Paying all applicable taxes (income, sales, employment)
Providing required employee benefits and insurance
Complying with labor laws and employment regulations
Obtaining necessary permits and inspections
Managing your own business operations

3.3 Client Relationships

When you engage with clients through SkaiScraper:

You enter into direct agreements with clients
SkaiScraper is not a party to those agreements
You set your own pricing, terms, and scope
You bear full responsibility for performance and outcomes

SECTION 4: PROFESSIONAL STANDARDS & CONDUCT

4.1 Professional Requirements

By using SkaiScraper, you agree to:

Maintain all required professional licenses and certifications
Carry appropriate general liability and workers' compensation insurance
Perform work according to industry standards and building codes
Provide accurate and honest estimates and proposals
Complete projects professionally and in a timely manner
Honor all commitments made to clients

4.2 Licensing & Insurance Verification

You acknowledge that:

We may verify your licensing and insurance status
We may display your verified credentials on the platform
Misrepresentation of credentials may result in termination
You must update us when credentials change or expire

4.3 Prohibited Conduct

You may NOT:

Misrepresent your qualifications, experience, or capabilities
Falsify estimates, invoices, or documentation
Commit or facilitate insurance fraud
Engage in bait-and-switch pricing tactics
Harass, threaten, or defame clients or other users
Discriminate based on protected characteristics
Violate building codes or safety regulations
Use the platform for illegal purposes

4.4 Insurance Claim Work

If you perform insurance restoration work:

You must comply with all applicable insurance regulations
You may not engage in unlicensed public adjusting
You must provide honest and accurate documentation
You may not falsify, exaggerate, or inflate claims
You must comply with anti-fraud requirements
You are responsible for understanding carrier requirements

SECTION 5: AI-POWERED FEATURES

5.1 AI Capabilities

SkaiScraper provides AI-powered tools including:

Roof and property damage detection
Hail, wind, and storm damage analysis
Photo categorization and organization
Report and estimate generation
Documentation assistance

5.2 AI Limitations & Disclaimers

YOU ACKNOWLEDGE AND AGREE THAT:

AI outputs are TOOLS FOR YOUR USE, NOT PROFESSIONAL OPINIONS
AI may produce inaccurate, incomplete, or misleading results
AI does NOT replace professional inspection or engineering
AI outputs must be verified by qualified professionals
AI image analysis may misidentify damage, materials, or conditions
AI-generated reports may contain errors or omissions

5.3 Your Professional Responsibility

As a trades professional, YOU ARE RESPONSIBLE FOR:

Independently verifying all AI-generated content
Using your professional judgment for all assessments
Not relying solely on AI for any professional decisions
Ensuring all work meets professional and code standards
Accurately representing the source of information to clients

5.4 AI Misuse Prohibited

You may NOT:

Submit AI outputs as your own professional assessment without review
Use AI to mislead clients, insurers, or adjusters
Represent AI outputs as certified inspection results
Use AI to inflate or exaggerate damage claims
Present AI content as legally binding professional opinions

5.5 Property Intelligence (SkAI Memory)

You acknowledge and agree that documents and reports processed through the Platform — including ordered measurement reports, inspection reports, photos, and project files — may be automatically scanned by AI to extract property information (such as roof dimensions, pitch, materials, and condition). Extracted data is saved to the property's SkAI Memory profile within your organization to pre-fill estimates, reports, and future projects.

You are responsible for having any consent needed from your clients to process their property documents this way (the Client User Agreement includes this consent for clients on the Platform)
SkAI Memory data remains scoped to your organization and is handled per the Privacy Policy, including its AI Training Restrictions

SECTION 6: TRADES NETWORK & COMMUNITY

6.1 Network Participation

The Trades Network enables you to:

Connect with other professionals and clients
Share updates, project photos, and content
Participate in industry discussions and groups
Build and manage your professional reputation
Receive and respond to reviews from clients

6.2 Professional Conduct Standards

When participating in the network, you agree to maintain the highest professional standards at all times. This includes:

Representing yourself and your company accurately and honestly
Sharing only truthful and accurate information
Respecting intellectual property and confidentiality
Communicating professionally with clients and other users
Supporting a positive, inclusive community environment

6.3 Prohibited Conduct

You may NOT post, share, or transmit any content that:

Hate Speech & Discrimination

Promotes hatred, violence, or discrimination based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, age, or any other protected characteristic
Contains slurs, epithets, or derogatory language targeting any group
Advocates for the exclusion or harm of individuals based on their identity

Harassment & Threats

Harasses, bullies, intimidates, or threatens any person
Contains personal attacks, insults, or name-calling
Stalks, doxxes, or shares personal information without consent
Incites others to harass or target individuals
Retaliates against clients for negative reviews

Obscene & Inappropriate Content

Contains profanity, vulgarity, or obscene language
Includes sexually explicit material or suggestive content
Contains graphic violence or gore
Is otherwise inappropriate for a professional business platform

Misinformation & Fraud

Spreads false, misleading, or deceptive information
Misrepresents your qualifications, certifications, or work history
Impersonates another person, company, or entity
Constitutes fraud, phishing, or scams
Promotes illegal activities or services

Unfair Business Practices

Disparages competitors unfairly or with false information
Solicits clients away from the platform inappropriately
Contains spam, repetitive content, or chain letters
Includes unauthorized advertisements for unrelated services
Manipulates ratings, reviews, or engagement metrics

6.4 Reviews & Reputation Management

Regarding reviews from clients:

Clients may leave honest reviews of their experience with you
You may respond professionally and constructively to reviews
You may NOT incentivize, coerce, or pay for positive reviews
You may NOT threaten or retaliate against clients for reviews
You may NOT create fake reviews for yourself or competitors
We investigate reports of review manipulation or fraud

6.5 Automated Content Moderation

You acknowledge and agree that:

We utilize automated content moderation systems to detect and filter prohibited content
Your posts, responses, and messages may be automatically scanned before publication
Content that triggers our moderation filters may be blocked, flagged, or removed
Repeated violations may result in account restrictions or termination
Our moderation systems assist human review but may not catch all violations
You remain solely responsible for all content you post

6.6 Consequences of Violations

Violations of these community guidelines may result in:

Warning: First-time or minor violations may receive a warning
Content Removal: Prohibited content will be removed without notice
Profile Demotion: Your profile may be deprioritized in search results
Temporary Suspension: Repeated violations may result in temporary account suspension (7-30 days)
Permanent Ban: Severe or repeated violations may result in permanent account termination
Legal Action: We may report illegal activity to law enforcement or licensing boards

6.7 Reporting Violations

If you encounter content that violates these guidelines:

Use the "Report" feature available on posts, reviews, and profiles
Contact our moderation team at support@clearskaitechnologies.com
Provide specific details about the violation
Do not engage with or escalate the situation
Allow our team time to investigate and respond

6.8 Professional Community Commitment

ClearSkai Technologies, LLC is committed to maintaining a safe, professional, and inclusive community for all trades professionals and clients. We continuously improve our moderation systems and policies to protect our community members and uphold professional standards.

SECTION 7: FEES & PAYMENT

7.1 Platform Fees

Use of certain SkaiScraper features may require:

Monthly or annual subscription fees
Per-use or transaction fees
Premium feature upgrades

Current pricing is available on our website and in the platform.

7.2 Payment Processing

Payment processing is handled by Stripe
You agree to Stripe's terms of service
You authorize recurring charges as applicable
Failed payments may result in service suspension

7.3 Client Payments

Payments from clients go directly to you
SkaiScraper does not hold or process client payments for your services
You are responsible for collecting payment from clients
Payment disputes with clients are between you and the client

7.4 Refund Policy

Platform subscription fees are subject to our Refund Policy. Generally:

Monthly subscriptions may be cancelled anytime
Annual subscriptions may be prorated for early cancellation
Fees for completed services are non-refundable

SECTION 8: INTELLECTUAL PROPERTY

8.1 Our Property

SkaiScraper, its software, AI models, designs, and content are owned by ClearSkai Technologies, LLC and protected by intellectual property laws.

8.2 Your License

We grant you a limited, non-exclusive, non-transferable license to use the platform for its intended business purpose. You may NOT:

Copy, modify, or distribute our software
Reverse engineer or decompile our systems
Use our trademarks without written permission
Extract or harvest data from our platform
Train competing AI models using our data

8.3 Your Content

You retain ownership of content you create
You grant us a license to display and use your content on the platform
You represent that you have rights to all content you upload
Project photos and documentation remain your property

SECTION 9: DATA & PRIVACY

9.1 Information We Collect

We collect information including:

Business and contact information
Licensing and insurance documentation
Project photos and documentation
Communications and messaging
Usage analytics and platform activity
Payment and billing information

9.2 How We Use Your Data

We use your data to:

Operate and improve the platform
Verify your credentials and display your profile
Connect you with potential clients
Process AI-powered features
Comply with legal requirements

9.3 Client Data

When you access client information through the platform:

You may use it only for the purpose provided
You must protect client confidentiality
You may not sell or share client information
You must comply with applicable privacy laws

9.4 Personalization & Interest-Based Content

By accepting this Agreement, you consent to interest-based personalization inside SkaiScraper:

We use signals from your platform activity (trades you work, areas you serve, network engagement) to rank your job board, network feed, and recommendations
Interest profiles are used inside SkaiScraper only — never sold, rented, or shared with advertisers or data brokers
Personalization never reads your claims workspaces, client documents, estimates, or private messages
You may opt out anytime in your settings

9.5 The Privacy Guardrail: Work Data vs. Community Sharing

Client work product is always private:

Claims, estimates, job documents, signatures, and workspace photos are never shown publicly and are never used to generate community content
Your public company page and trades profile show only what you and your clients explicitly choose to share (portfolio photos your client opted into, reviews, your business details)
Reviews of you and your company are public; company scores may aggregate individual employee reviews with filters to view either

SECTION 10: LIMITATION OF LIABILITY

10.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Our total liability shall not exceed the fees you paid in the past 12 months
We are NOT liable for indirect, incidental, special, or consequential damages
We are NOT liable for loss of profits, contracts, or business opportunities
We are NOT liable for actions of clients or other users

10.3 Specific Disclaimers

WE ARE NOT LIABLE FOR:

Client payment defaults or disputes
Project outcomes or client satisfaction
Accuracy of AI-generated content
Licensing or compliance issues
Work quality or code compliance
Insurance claim outcomes
Business or financial losses

SECTION 11: INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ClearSkai Technologies, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the platform
Your work, services, or business operations
Your violation of this Agreement
Claims by your clients or their insurers
Your employees' or subcontractors' actions
Your violation of any law or regulation
Content you post or share

SECTION 12: DISPUTE RESOLUTION

12.1 Governing Law

This Agreement is governed by the laws of the State of Arizona without regard to conflict of law principles.

12.2 Arbitration Agreement

PLEASE READ CAREFULLY:

You agree that any dispute arising from this Agreement shall be resolved through binding arbitration rather than in court, except for small claims court disputes.

12.3 Class Action Waiver

YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS.

All disputes must be brought in your individual capacity.

12.4 Venue

Any legal action shall be brought in Yavapai County, Arizona or federal court in the District of Arizona.

SECTION 13: TERMINATION

13.1 Your Right to Terminate

You may close your account at any time. Outstanding subscription fees remain due.

13.2 Our Right to Terminate

We may suspend or terminate your account for:

Violation of this Agreement
Fraudulent or illegal activity
Poor service quality or excessive complaints
Failure to maintain required licensing/insurance
Any reason with notice

13.3 Effect of Termination

Upon termination:

Your access to the platform will cease
Outstanding fees remain due
Client relationships transfer directly to you
Your data may be retained as required by law

SECTION 14: GENERAL PROVISIONS

14.1 Entire Agreement

This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and ClearSkai Technologies, LLC.

14.2 Severability

If any provision is found unenforceable, the remaining provisions shall continue in effect.

14.3 Waiver

Our failure to enforce any right does not waive our right to enforce it later.

14.4 Assignment

You may not assign this Agreement. We may assign it to any successor entity.

14.5 Modifications

We may update this Agreement. Continued use after changes constitutes acceptance. Material changes will be notified via email or platform notification.
